Job Description

We are seeking a highly analytical and execution-oriented M&A Analyst to join the Corporate Development team. This role will support the full M&A lifecycle — from business development and target evaluation, through financial and operational due diligence, to post-merger integration into QAD. The ideal candidate combines strong financial modeling skills with strategic thinking, attention to detail, and the ability to work cross-functionally in a fast-paced environment.

Key Responsibilities

Deal Sourcing & Business Development

Support identification, screening, and prioritization of potential acquisition targets aligned with QAD’s strategic priorities
Conduct market research, competitive analysis, and landscape mapping
Prepare initial investment theses, target profiles, and strategic rationale materials
Track inbound opportunities and maintain deal pipeline and status reporting

Financial Analysis & Valuation

Build and maintain detailed financial models, including:
3-statement operating models
Valuation analyses (DCF, comparable companies, precedent transactions)
Synergy and accretion/dilution analyses
Analyze target financials, revenue quality, margins, growth drivers, and unit economics
Assess deal structures, purchase price mechanics, and key financial risks

Due Diligence

Coordinate and support financial, operational, commercial, and technical due diligence
Partner with FP&A, Accounting, Legal, Tax, HR, IT, Product, and external advisors
Analyze diligence findings and quantify risks, synergies, and integration considerations
Prepare diligence summaries and executive/Board-level materials

Transaction Execution

Support deal execution from LOI through signing and close
Assist with data room management, Q&A tracking, and diligence requests
Support negotiation preparation, including modeling sensitivities and downside cases
Help manage transaction timelines, deliverables, and cross-functional dependencies

Post-Merger Integration (PMI)

Support integration planning and execution to ensure seamless integration into QAD
Track synergy realization, cost savings, and revenue upside vs. deal case
Assist with integration of financial reporting, forecasting, and KPI alignment
Provide regular updates to leadership on integration progress and risks

Reporting & Executive Support

Prepare investment memos, deal summaries, and Board materials
Support internal approval processes and post-close performance tracking
Maintain documentation of deal assumptions and actual performance vs. plan

Qualifications

Bachelor’s degree in Finance, Accounting, Economics, Business, or related field
2–4+ years of experience in Corporate Development, Investment Banking, Private Equity, Transaction Advisory, or Strategic Finance
Strong financial modeling, valuation, and analytical skills
Experience supporting M&A transactions end-to-end strongly preferred
High attention to detail with the ability to manage multiple workstreams
Strong written and verbal communication skills
Comfortable working cross-functionally and with senior leadership

Additional Information

Compensation Package:

$135,000-145,000 USD Annual (12 Months)
Placement within our pay range will vary based on knowledge, skills, experience, and market location variations as well as internal peer equity.
This position is also eligible for an annual company performance bonus.
