Act as Assistant Company Secretary, managing all Board processes and governance documentation — including scheduling meetings, preparing agendas, coordinating papers, taking accurate minutes, tracking decisions, and overseeing D&O insurance and committee membership reviews.

Build strong relationships with shareholders and Board members, managing the Diligent platform (or future governance systems), creating tailored induction programmes for new directors, and supporting clear, effective communication across the Board.

Lead core compliance areas, including data privacy, anti‑bribery and corruption, and competition compliance.

Drive compliance training and policy management, and oversee relationships with governance platforms such as Diligent.

Manage and develop two direct reports, providing leadership, coaching, and day‑to‑day support.

What You’ll Do

Operational & Strategic Impact

You’ll play a key role in shaping and delivering Cornerstone’s governance and compliance strategy. Working closely with the General Counsel and senior stakeholders, you’ll drive enterprise‑wide initiatives, advise the business on legal and regulatory obligations, and help embed a proactive, responsible risk culture across the organisation.

Stakeholder Engagement

You’ll build strong relationships with a wide range of internal and external partners, including:

Internal: Legal, Compliance, IT, Operational Compliance, Risk, and Senior Leadership Teams
External: Board and shareholder compliance teams, regulators, and governance platform providers (e.g., Diligent, Resolver)

Teamwork & Collaboration

You’ll provide leadership and development to two direct reports, while working collaboratively across departments to embed robust governance and compliance standards throughout the business.

Key Accountabilities

Maintain accurate governance records, including the Gift Register.
Ensure smooth, effective governance processes for the Cornerstone Board and its Committees.
Oversee governance and compliance for the MSA Boards.
Deliver clear and timely compliance updates to the SLT and Board.
Embed strong legal and regulatory compliance practices, with emphasis on data privacy, competition law, anti‑bribery and ECCTA requirements.
Ensure training, policies, and frameworks remain current, compliant, and aligned with ISO and legal standards.

Decision‑Making & Autonomy

You’ll make informed, independent decisions to improve governance and compliance operations, interpret regulatory requirements, and provide trusted advice to leaders on compliance risks and mitigation.

What You’ll Bring

Knowledge & Skills

Strong experience managing Boards, Board processes, and engaging confidently at Board level.
Solid understanding of corporate governance and legal compliance frameworks.
Strong working knowledge of GDPR, competition law, and anti‑bribery regulations.
Skilled in developing policies, training, and compliance monitoring.
Excellent stakeholder management and communication skills.
Experience using digital governance tools (e.g., Diligent, Resolver).

Experience

Background in governance, legal, or compliance roles, ideally within regulated environments.
Hands‑on experience supporting Boards, Board Committees, and senior leadership.
Proven leadership capability, including line management and team development.

Judgement & Autonomy

Uses sound judgement when advising on governance and compliance matters.
Works with a high degree of autonomy across both operational and strategic responsibilities.
Represents the Governance and Compliance function confidently with internal and external stakeholders.
