Senior Counsel, Commercial, Data and Strategic Partnerships
**Role Summary**
Provide strategic legal counsel on data, technology, and partnership initiatives in a health‑tech environment. Lead negotiations, due diligence, and compliance for data‑related agreements, M&A, and commercial transactions. Advise senior leadership on regulatory risks and opportunities in data, AI, and digital health.
**Expectations**
- Deliver high‑impact legal support for data licensing, sharing, governance, and acquisition.
- Draft, negotiate, and structure complex partnership and commercial contracts.
- Lead M&A legal matters from due diligence through post‑close integration.
- Ensure compliance with U.S. and Canadian health data, privacy, and emerging AI laws.
- Partner cross‑functionally to align legal strategy with business objectives and growth goals.
**Key Responsibilities**
1. **Data & Technology Legal Support**
- Counsel on data licensing, sharing, and acquisition agreements.
- Develop data governance frameworks and risk assessments.
2. **Partnership & Commercial Agreements**
- Draft and negotiate strategic partnership, joint venture, and other commercial contracts.
3. **M&A Transaction Support**
- Conduct legal due diligence, draft transaction documents, and review deal structures.
- Manage post‑transaction integration and compliance matters.
4. **Compliance & Regulatory Counseling**
- Provide day‑to‑day guidance on HIPAA, CCPA/CPRA, PHIPA, FDA, FTC, and emerging AI regulations.
- Ensure technology initiatives comply with privacy and regulatory requirements.
5. **Strategic Advisory**
- Serve as trusted advisor to senior leadership on legal risks and opportunities.
- Translate complex regulations into actionable business strategies.
6. **Stakeholder Collaboration**
- Build relationships with business stakeholders to support objectives and mitigate risk.
**Required Skills**
- Deep knowledge of U.S. (HIPAA, CCPA/CPRA, FTC) and Canadian (PHIPA) health data and privacy law.
- Experience drafting and negotiating complex commercial and data‑centric agreements.
- Proven M&A legal expertise (due diligence, transaction structuring, integration).
- Strong business judgment and ability to influence executives and cross‑functional teams.
- Proactive, solution‑oriented mindset with a passion for technology innovation.
- Excellent communication and stakeholder‑management skills.
**Required Education & Certifications**
- Juris Doctor (JD) degree.
- Active bar membership in at least one U.S. jurisdiction.
- Minimum 8 years of progressive legal experience, preferably combining law firm and in‑house roles in healthcare, digital health, or technology.
