Job Description
**Job Title** Company Secretarial Assistant **Role Summary** Provide temporary support to maintain corporate governance and statutory compliance for a UK real‑estate client. Work closely with senior secretarial staff on day‑to‑day tasks and larger corporate events, ensuring accurate filing, documentation and stakeholder communication. **Expectations** - Work part‑time, 4 days per week in office (Fridays home). - Available until the end of May on a contract basis. - Demonstrate proactive compliance monitoring and liaise effectively with internal teams, external advisers and regulatory bodies. - Exhibit strong attention to detail, adherence to timelines, and confidentiality. **Key Responsibilities** - Maintain statutory records and company data within Diligent. - Prepare and file confirmation statements, annual returns and other event‑driven statutory submissions via Diligent Entities or Companies House portals. - Coordinate with external company secretarial agents and legal advisers. - Draft routine board minutes, director and shareholder resolutions; assist with complex minutes. - Incorporate new entities, facilitate integration and update group structure charts in Visio. - Manage board and committee meetings, prepare agendas, minutes and supporting documents. - Support year‑end accounts processing and liaise with finance and auditors. - Handle banking, transaction and KYC requests, responding to queries from finance, auditors and external parties. - Prepare and release London Stock Exchange announcements. - Monitor upcoming changes in corporate legislation, governance codes and guidance. - Provide coverage for other team members as required. **Required Skills** - Strong knowledge of UK company law and statutory filing processes. - Proficient with Diligent, Companies House online portals, Visio and standard MS Office. - Excellent written and verbal communication, drafting and editing abilities. - Detail‑oriented with strong organisational and time‑management skills. - Ability to work independently and collaboratively in a team. - High level of confidentiality and professional integrity. **Required Education & Certifications** - Bachelor’s degree in Business, Law, Accounting or related field. - Professional qualification such as ACCA, ACA, CIMA, or equivalent is preferred. ---
